Terms of Service

1. Acceptance of Terms

By accessing or using the website (www.fundle.ai), platform, or any services provided by Fundle Technologies Pvt. Ltd. ("Fundle.ai", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree to these Terms, do not use our services.

2. Description of Services

Fundle.ai provides an AI-powered, first-party retail data intelligence and monetisation platform. Our services include but are not limited to: automated data science and reporting (ADSR), loyalty programme management, gamified customer experiences (Xperiences), omnichannel marketing campaigns (Reach), unified payment solutions (One), e-commerce enablement, and AI-driven intelligence (Brain). Services are delivered as a Software-as-a-Service (SaaS) platform under subscription agreements.

3. Account Registration & Security

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorised access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

• Use the platform for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorised access to any part of the platform, other accounts, or systems.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of our software.
• Use automated means (bots, scrapers) to access the platform without prior written consent.
• Transmit viruses, malware, or any harmful code through the platform.
• Sublicense, resell, or redistribute access to the platform without authorisation.

5. Intellectual Property

All content, software, algorithms, AI models, designs, logos, trademarks, and materials on the Fundle.ai platform are the exclusive property of Fundle Technologies Pvt. Ltd. or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the platform for the duration of your subscription. This licence does not transfer any ownership rights. Our AI models, analytical frameworks, and proprietary methodologies remain our intellectual property regardless of the data processed through them.

6. Data Ownership & Processing

• Your Data: You retain full ownership of all data you upload to or generate through the platform ("Client Data"). We process Client Data solely to provide the contracted services.
• Aggregated Data: We may create anonymised, aggregated datasets from Client Data for improving our services, benchmarking, and research. Such aggregated data will not identify individual consumers or your organisation.
• Data Isolation: Client Data is logically isolated in multi-tenant environments. We do not share your raw data with other clients.
• Data Processing: Our processing of personal data is governed by our Privacy Policy and any applicable Data Processing Agreement (DPA).

7. Service Availability & SLA

We endeavour to maintain 99.9% platform uptime. Scheduled maintenance windows will be communicated in advance. We are not liable for service interruptions caused by factors beyond our reasonable control, including internet outages, third-party service failures, force majeure events, or actions by your systems or personnel. Specific SLA terms may be defined in your individual service agreement.

8. Fees & Payment

• Fees are as specified in your subscription agreement or on our pricing page.
• All fees are exclusive of applicable taxes unless stated otherwise.
• Payment is due within the agreed terms. Late payments may incur interest at 1.5% per month.
• We reserve the right to suspend services for accounts with overdue payments exceeding 30 days.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Fundle.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising out of or in connection with the use of our services. Our total aggregate liability shall not exceed the fees paid by you to Fundle.ai in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Fundle.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of the platform, or your violation of any applicable law or third-party rights.

11. Termination

• Either party may terminate the service agreement with 30 days written notice.
• We may terminate or suspend access immediately for material breach of these Terms.
• Upon termination, your right to use the platform ceases. We will make your data available for export for 90 days following termination.
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India. The parties agree to attempt resolution through good-faith negotiation before pursuing formal proceedings.

13. Modifications

We may revise these Terms at any time by updating this page. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance. We encourage you to review these Terms periodically.
